Registered under Cyprus Companies Law Cap. 113. Sits at the top of the structure. Capital flows through treaty-protected pathways from here to U.S. operations. Legal: Elias Neocleous & Co LLC, Limassol.
Tier 02 · U.S. Operating Entity
Wyoming Series LLC
U.S.-domiciled entity. Wyoming was chosen for anonymous membership, zero state income tax, and the Series feature — which creates legally isolated sub-entities without forming new companies for every deal.
Tier 03 · Per-Acquisition
Series SPV — One Per Deal
Every acquisition lives in its own Series. Problems in one deal cannot legally reach another. The liability isolation is structural — enforced by entity law, not just contractual agreement.
Why it's built this way
Liability isolation. If one deal has a legal or financial problem, it stays inside that Series. It cannot reach other assets in the portfolio.
Clean debt structuring. Each acquisition carries its own debt inside its own entity. Lenders have no claim on other portfolio assets.
Treaty-protected capital flows. The Cyprus HoldCo creates efficient, compliant international capital movement between jurisdictions.
Scalable. Adding a new deal means creating a new Series — no new companies, no new legal filings, no restructuring of the whole portfolio.
Proprietary Capital Only. The framework operates entirely on internal partner capital and is structured strictly for private deployment.
